A wet signature is a name or mark that a person writes by hand, in ink, onto a physical document. The term separates a pen-and-paper signature from an electronic signature applied through software, and it takes its name from ink that stays wet after the pen lifts. Electronic-signature laws protect electronic execution in covered transactions. Their exclusions leave the applicable law to determine execution requirements. A wet signature may still be necessary under that law, the parties’ agreement, or a receiving authority’s requirements.

When You'll See It
Wet-signature questions arise in commercial execution clauses and in documents subject to special formalities. Section 7003 excludes specified records from ESIGN’s general validity rule; the governing law determines which signing methods remain available. A digital signature uses cryptography to authenticate a signer and detect document changes. That technology still operates within the applicable execution rules.
- Wills, Codicils, and Testamentary Trusts: Section 7003(a)(1) excludes records governed by laws on creating and executing these instruments. Check the governing probate law for permitted electronic execution and the required witnesses or other safeguards.
- Adoption, divorce, and other family law matters: Section 7003(a)(2) exempts records governed by state law on these subjects.
- Most of the Uniform Commercial Code: Section 7003(a)(3) exempts the UCC as in effect in any state, other than sections 1-107 and 1-206 and Articles 2 and 2A. For records governed by Article 3 or Article 9, check the state’s UCC and other applicable electronic-record laws, including their scope exclusions. Section 7021 may also apply to a qualifying electronic note.
- Court filings: Section 7003(b)(1) exempts court orders or notices, and official court documents including briefs, pleadings, and other writings required to be executed in connection with court proceedings. Individual courts set their own electronic filing rules, so local rules control the practical answer.
- Specified consumer notices and dangerous materials documents: Section 7003(b)(2) exempts notices of utility cancellation, default, acceleration, repossession, foreclosure, or eviction under a credit agreement secured by or a rental agreement for an individual’s primary residence, cancellation of health or life insurance benefits (excluding annuities), and product recall or material product failure that risks health or safety. Section 7003(b)(3) exempts documents required to accompany transportation or handling of hazardous materials, pesticides, or other toxic or dangerous materials.
- Notarized and Recorded Instruments: Check whether the relevant state currently permits remote online notarization for the instrument and whether the receiving recorder accepts it. Enacting a law and making the process operational can occur on different dates, as the California Secretary of State’s guidance explains.
- Non-US formality regimes: German law distinguishes execution from filing. BGB Section 311b(1) generally requires notarial recording of contracts obligating a party to transfer or acquire land. HGB Section 12 requires electronic submission of commercial-register applications in publicly certified form. Have local counsel confirm the instrument’s execution and filing requirements.

If You’re the Customer:
You want a signing method that binds on the day you close, and a record that still proves it later.
- Name the signing methods that bind, including mixed execution where one side signs in ink and the other electronically, so the format is settled before closing.
- Ask what a wet-ink demand rests on. Where it reflects the supplier’s internal policy rather than governing law or a receiving authority, negotiate a permitted electronic alternative.
- Put custody of originals, certified copies, and signature records on one named party, with a duty to produce them when a court, lender, or registry asks.
- Fix the effective date on signature and delivery, and state that later delivery of paper originals does not move it.
- Settle notarization, witnessing, and recording before signing, and assign the cost and the deadline for each to the party that needs them.
If You’re the Supplier:
You want one repeatable signing process, and proof that an authorized person agreed to the final terms.
- Get consent to electronic execution and confirmation of signer authority into the agreement itself, rather than chasing both after performance starts.
- Reserve wet ink, notarization, acknowledgment, or recording only where law, a registry, or a lender requires it, so the default path stays electronic.
- Where an original, certified copy, or notarized counterpart is required, set the deadline, the delivery method, and who pays, rather than leaving “originals to follow” open.
- Keep the execution language aligned with the counterparts, notices, amendment, and order-of-precedence provisions, so the signature method does not contradict the rest of the agreement.
- Preserve the audit trail your signing system produces, covering identity, authority, consent, and delivery, and pair it with the waiver of authenticity objections the examples above use.
Red Flags

Silence on electronic signature sends the question to background law, and leaves the counterparty's signing policy or a registry's filing rules free to demand ink at the worst moment. Say which formats bind.

A clause treats ESIGN as sufficient authority to e-sign every document. Section 7003 excludes specified records from Section 7001's protections. Check the governing law for the permitted execution and delivery methods.

A US-style equivalence clause overlooks mandatory foreign execution or filing requirements. Confirm the required form with local counsel, including whether the receiving register requires electronic submission.
